Welcome to Selde Studio. The terms “we,” “us,” and “our” refer to Selde Studio. Selde Studio operates this website, online store, and all related content, products, services, features, and tools (collectively, the “Services”). Our store is hosted on Shopify, which provides the ecommerce platform used to deliver the Services.
These Terms of Service (“Terms”) govern your access to and use of the Services, including all purchases made through the website. By accessing, browsing, or using the Services, you agree to be bound by these Terms and our Privacy Policy [LINK]. If you do not agree to these Terms or the Privacy Policy, you may not use the Services.
These Terms contain important information regarding your legal rights, including limitations of liability, warranty disclaimers, dispute-related provisions, and other legally binding terms.
SECTION 1 – ELIGIBILITY AND ACCOUNT RESPONSIBILITIES
By using the Services, you represent that you are at least the age of majority in your state or province of residence, or that you have provided consent for any minor dependents using devices under your control to access the Services.
To access certain features or place orders, you may be required to provide information including your name, email address, billing address, shipping address, and payment details. You agree that all information provided is accurate, current, complete, and lawfully provided.
You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity occurring under your account. Accounts may not be transferred, assigned, shared, or sold without our prior written consent.
SECTION 2 – PRODUCTS AND PRODUCT REPRESENTATION
We make reasonable efforts to accurately display and describe our products and services. However, actual colors, textures, finishes, scale, and appearance may vary depending on your screen, device settings, lighting conditions, and the handmade nature of our products.
Many Selde Studio products are handmade, small-batch, printed-to-order, or produced using natural materials. Variations in color, texture, glaze, print alignment, finish, scale, dye lots, and other characteristics are inherent to the product and are not considered defects.
Wallpaper, fabric, tile, ceramics, and similar surface products may vary slightly between samples and final production runs. Because production batches and calibration processes vary, exact color matching between separate orders cannot be guaranteed. Customers are responsible for ordering sufficient quantities, including recommended overage, at the time of purchase to minimize variation between runs.
All product descriptions, dimensions, specifications, pricing, and availability are subject to change without notice. We reserve the right to discontinue products or limit quantities at any time and for any reason.
SECTION 3 – ORDERS AND ORDER ACCEPTANCE
Submission of an order constitutes an offer to purchase. Selde Studio reserves the right to refuse, cancel, or limit any order at our sole discretion, including after an order confirmation has been sent.
Orders are not deemed accepted until payment has been successfully processed and the order has been formally approved by Selde Studio. We may refuse or cancel orders for reasons including suspected fraud, pricing errors, product availability, or inaccuracies in order information.
Because many of our products are made-to-order, custom-produced, or scheduled into production shortly after purchase, cancellations or changes may not be possible once an order is placed.
All purchases are subject to our Refund Policy [LINK], which is incorporated into these Terms by reference.
You represent that purchases are made for lawful purposes and not for unauthorized resale, export, or commercial redistribution unless expressly approved in writing.
SECTION 4 – PRICING AND PAYMENT
All prices are listed in U.S. dollars unless otherwise stated and are subject to change without notice.
Posted prices do not include applicable taxes, shipping charges, customs duties, import fees, brokerage fees, or other governmental charges unless expressly stated otherwise. You are responsible for all such charges associated with your purchase.
You agree to provide valid and current payment information and authorize us to charge your selected payment method for all amounts due, including applicable taxes and shipping charges.
In the event of a pricing error, typographical mistake, or incorrect product information, we reserve the right to cancel or refuse any affected order, even if payment has already been submitted. If payment has been processed for a canceled order, a refund will be issued to the original payment method.
SECTION 5 – SHIPPING, DELIVERY, AND RISK OF LOSS
Shipping and delivery dates are estimates only and are not guaranteed.
Selde Studio is not responsible for delays caused by carriers, weather, customs processing, supply chain interruptions, labor shortages, force majeure events, or other circumstances beyond our control.
Risk of loss and title for purchased products pass to you upon transfer of the shipment to the carrier.
Customers are responsible for inspecting deliveries promptly upon receipt and notifying us of any damage, shortage, or shipping issue within the timeframe specified in our Refund Policy.
SECTION 6 – INTELLECTUAL PROPERTY
All content and materials available through the Services, including but not limited to trademarks, logos, product names, photography, artwork, illustrations, graphics, designs, wallpaper patterns, ceramic designs, text, videos, layouts, and overall site design are owned by or licensed to Selde Studio and are protected by copyright, trademark, trade dress, and other intellectual property laws.
No portion of the Services or products may be copied, reproduced, republished, uploaded, distributed, modified, transmitted, displayed, sold, or exploited without prior written permission from Selde Studio.
Purchase of a product does not transfer any intellectual property rights or grant any license for commercial reproduction, manufacturing, resale, or derivative works.
Unauthorized use of our intellectual property may result in legal action.
SECTION 7 – THIRD-PARTY TOOLS AND SERVICES
The Services may provide access to tools, applications, integrations, or services operated by third parties. These tools are provided “as is” and “as available” without warranties or endorsements of any kind.
Selde Studio is not responsible for the content, functionality, availability, security, or practices of any third-party service or provider. Your use of third-party tools is entirely at your own risk and subject to the applicable third party’s terms and policies.

Accessing third-party websites is done entirely at your own risk. We disclaim all liability arising from your use of or reliance on any third-party products, services, or content.
SECTION 9 – SHOPIFY PLATFORM
Our store is hosted by Shopify. However, all transactions, purchases, and customer relationships are solely between you and Selde Studio.
To the fullest extent permitted by law, Shopify and its affiliates shall have no liability arising from or relating to purchases made through our store or your use of the Services.

Because the Services are hosted through Shopify and related third-party providers, your information may be processed, stored, or transferred outside your jurisdiction as necessary to provide the Services.

By submitting content, you grant Selde Studio a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, display, distribute, and create derivative works from such content for any lawful purpose, including marketing and promotional purposes.
You represent that you own or control all rights necessary to submit such content and that your submissions do not violate the rights of any third party.
We reserve the right, but not the obligation, to remove or edit content submitted to the Services at our discretion.
SECTION 12 – ERRORS AND OMISSIONS
We reserve the right to correct any typographical errors, inaccuracies, omissions, or outdated information at any time without prior notice, including after an order has been submitted.

We may suspend or terminate your access to the Services at any time and without notice if we believe you have violated these Terms or applicable law.
Termination does not relieve you of obligations incurred prior to termination, including payment obligations.

THE SERVICES AND ALL PRODUCTS PROVIDED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, SELDE STUDIO DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SECTION 16 – LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, SELDE STUDIO, ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES OR PRODUCTS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO SELDE STUDIO FOR THE APPLICABLE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
SECTION 17 – INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Selde Studio and its affiliates, owners, employees, contractors, licensors, service providers, and partners from and against any claims, liabilities, damages, judgments, losses, costs, or expenses, including reasonable attorneys’ fees, arising from:
(a) your violation of these Terms;
(b) your misuse of the Services;
(c) your violation of any law or third-party right; or
(d) any content or information submitted by you.
SECTION 18 – SEVERABILITY
If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions shall remain in full force and effect.
SECTION 19 – WAIVER AND ENTIRE AGREEMENT
These Terms, together with any policies posted on the website, constitute the complete agreement between you and Selde Studio regarding the Services and supersede all prior agreements or communications.
Failure by Selde Studio to enforce any provision shall not constitute a waiver of that provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Selde Studio may assign or transfer these Terms without restriction.
SECTION 21 – GOVERNING LAW
These Terms and any disputes arising from the Services shall be governed by and construed under the laws of the State of New York, without regard to conflict of law principles.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in New York, and you consent to the jurisdiction of such courts.
